1. Terms of Use

1.1. The websites www.timelymart.in (“Website”) and mobile application ‘TimelyMart’ (App) (Website and App collectively referred to as the “Platform”) is owned, operated and managed by TimelyMart (AGAS TimelyPay Fintech Pvt. Ltd.), a private limited company incorporated in accordance with the provisions of the Indian Companies Act, 2013 and having its registered office situated at 5th Floor, CENTER POINT, #2/4, Mount Poonamalle High Road, Porur, Chennai 600089, Tamil Nadu, India.

1.2. These terms of use (“Terms”) govern your use of the Platform, and for the purpose of these Terms, TimelyMart, including its subsidiaries, its holding company, its affiliates may wherever context so require, be also referred to as, “TimelyMart”, "We",  "Us", or "Our" and the terms “You”, “Your” or “User” refer to user of the Platform. We value the trust You have placed in Us and hence We maintain reasonable security standards for securing the transactions and Your information.

1.3. Please read these Terms carefully before You use the Platform. If You do not agree to these Terms, You may not use the services on the Platform, and We request You to uninstall the App and not access the Platform. By even merely using/accessing the Platform, You shall be contracting with TimelyMart and You signify Your acceptance to these Terms and other TimelyMart policies (including but not limited to the cancellation & refund terms and published privacy policy (“Privacy Notice”) as posted on the Platform and amended from time to time, which takes effect on the date on which You use the Platform and thereby create a legally binding agreement to abide by the same. Further, by furnishing Your personal information, You consent to TimelyMart accessing Your personal information for the purpose of enabling transactions, You also agree that You are interested in availing the services through the Platform in accordance with these Terms.

1.4. TimelyMart retains an unconditional right to modify or amend these Terms. You can determine when these Terms were last modified by referring to the ‘Last Updated’ legend above. You can access the latest version of these Terms at any given time on the Platform. You should regularly review the Terms on the Platform. TimelyMart reserves the right to amend, suspend, discontinue or add any or all services without prior notice and can add or remove relevant terms and conditions, if necessary. Any updation of the Terms as a consequence of change in legal and regulatory compliances, shall be made in compliance thereof. Your continued use of and access to the Platform shall be Your consent to any changes made by Us in these Terms. In the event, the modified Terms are not acceptable to You, You should discontinue accessing the Platform.

2. Access to Services

2.1. TimelyMart enables transactions on the Platform between participating sellers and service providers (“Seller(s)”) and Users. Users can order Products (defined hereunder) and services offered for sale by these Sellers in select serviceable areas across India. TimelyMart is not and cannot be a party to or control in any manner any transaction between the Platform's Users and Sellers.

2.2. You acknowledge that the Platform allows You to avail a personal, limited, non-exclusive, non-transferable, and revocable privilege to access and use the Platform for the purposes of purchasing consumer goods such as grocery, apparel, electronics, health and wellness, café products including prepared foods and beverages (Café orders), Pet care etc (collectively, “Product(s)”) from the Sellers sold on a business to consumer (B2C) basis for personal consumption and purchase of Products on a business to business (B2B) basis by the registered businesses. The Services such as platform services, handling of Products, last mile delivery services including late night delivery and any other services are provided with purchase of Products only at a fee as may be charged additionally. You agree and consent to pay for the carry bag purchased in an order since, the Products can be delivered without a carry bag and purchasing the carry bag is not compulsory for the User. The registered businesses may be required to furnish additional details of their business including without limitation, business name, GSTIN, licenses/registrations issued by Government Authorities and/ or any other information that may be required by TimelyMart. User shall be responsible for the accuracy of the GSTIN and legal entity name. TimelyMart disclaims any liabilities arising out of incorrect details.

2.3. The aforesaid revocable privilege to access does not include/permit resale or commercial use of the Platform or its Content (as defined below), in any manner. The Sellers may, at their discretion, add, modify or remove any of the Products and services listed above from time to time without notice. The Sellers and/or TimelyMart may also make applicable, at its discretion, additional terms and conditions specific to any category or section of Products or services in addition to these Terms and Your purchase of any of such category or section of Products or services shall also be governed by such additional terms and conditions. TimelyMart reserves the right to provide the services in any area or city in India, as may be determined by TimelyMart in its sole discretion. Before applying or registering for availing any of the services, We request You to please check if the services are available in Your area or city. Last mile delivery is provided by engaging third-party delivery service providers.

2.4. Products and services are ranked organically unless promoted through advertisements. Ranking is based on popularity indicators like impressions, user preferences, relevance, add-to-cart actions etc. Newly launched products receive a temporary visibility boost to enhance exposure and assess popularity. TimelyMart does not: (i) adopt any ‘unfair trade practices’ either on the Platform or otherwise with respect to its services; (ii) discriminate between Users of the same class or make any arbitrary classification of the Users and (iii) discriminate between the third-party delivery service providers.

2.5. TimelyMart functions solely as an online marketplace and acts as a facilitator enabling transactions between Users and Sellers on the Platform. At no point does TimelyMart take possession of any Products offered by Sellers nor does it hold any rights, title or interest in those Products and services. TimelyMart is not liable for any obligations related to non-performance or breach of contracts between Users and Sellers as that is a bilateral arrangement between You and Seller. Furthermore, TimelyMart is neither responsible for poor or delayed Product or service performance nor for issues arising from Products that are out of stock, unavailable or back-ordered.

2.6. Terms and conditions applicable for the User who is a registered business:

2.6.1. The User represents and undertakes:
2.6.1.1. That the User has full legal authorization and power to purchase the Products and/or Services on behalf of the registered business.
2.6.1.2. That the documents and information provided are genuine and complete.
2.6.1.3. That the User shall not act as an agent of TimelyMart.
2.6.1.4. To adhere to such other terms as may be applicable or displayed on Platform from time to time.

3. Eligibility to Use

3.1. Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are “incompetent to contract” under the Indian Contract Act, 1872 including un-discharged insolvents are not eligible to use the Platform. If You are a minor i.e., under the age of 18 years, You shall not register as a User of the Platform and shall not transact on or use the Platform. TimelyMart reserves the right to terminate Your membership and/or refuse to provide You with access to the Platform if it is brought to TimelyMart’s notice or if it is discovered that You are under the age of 18 years.

3.2. By accepting these Terms or by using the Platform, You represent that You have the legal capacity to enter into a binding contract and that You are not barred from receiving services under the laws of India or other applicable jurisdictions.

4. Account Registration and Use

4.1. You may access the Platform by registering to create an account (“TimelyMart Account”) and becoming a member, or use the Platform without creating an account. To register, You will be required to provide certain personal information such as Your name, contact number, email address, and other details. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2. You are solely responsible for safeguarding Your TimelyMart Account login credentials and are liable for any activities or actions conducted through Your account. TimelyMart will not be responsible for any loss or damage arising from Your failure to maintain the confidentiality of Your login credentials.

4.3. You agree to use the Platform only for purposes that are permitted by (a) these Terms; and (b) any applicable law, regulation, or generally accepted practices or guidelines in the relevant jurisdictions.

4.4. You agree not to engage in activities that may adversely affect the use of the Platform by TimelyMart or other Users.

4.5. TimelyMart reserves the right to suspend or terminate Your account if any information provided during the registration process or thereafter proves to be inaccurate, false, misleading, or if You violate these Terms.

5. User Obligations

5.1. You agree to comply with all local laws and regulations regarding online conduct and acceptable content.

5.2. You agree not to use the Platform to:
a) Engage in fraudulent activities;
b) Disseminate viruses, malware, or other harmful software;
c) Infringe intellectual property rights;
d) Disrupt or interfere with the security or functioning of the Platform;
e) Collect data about other Users without consent.

5.3. You agree not to attempt to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform.

5.4. You are responsible for all electronic communications and content sent from Your device to Us and must only use the Platform for lawful purposes.

6. Product Descriptions

6.1. TimelyMart attempts to be as accurate as possible. However, TimelyMart does not warrant that Product descriptions, photographs, or other content is accurate, complete, reliable, current, or error-free.

6.2. If a Product offered by TimelyMart itself is not as described, Your sole remedy is to return it in unused condition.

7. Pricing, Payment, and Promotions

7.1. All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. The prices displayed for Products are subject to change without notice.

7.2. TimelyMart offers multiple payment options including credit/debit cards, UPI, net banking, wallets, and cash on delivery (where available). By providing payment information, You represent and warrant that You are legally authorized to use the payment method provided.

7.3. Payment transactions, including those made via third-party payment gateways, are subject to validation checks and authorization. TimelyMart is not liable for any delays or failures caused by payment gateway providers.

7.4. TimelyMart may, from time to time, offer promotional codes, coupons, or other offers. These are subject to specific terms and conditions and may be withdrawn at any time without notice.

8. Cancellations, Returns, and Refunds

8.1. Orders once placed can be cancelled only in accordance with the cancellation policy displayed on the Platform. Orders in processing or dispatched stages may not be eligible for cancellation.

8.2. Returns and exchanges are accepted only for Products that meet the conditions mentioned in the return policy available on the Platform. Certain categories of Products (e.g., perishable goods, hygiene-related items) are non-returnable unless defective.

8.3. Refunds, where applicable, will be processed to the original payment method used during the transaction within the time frame specified in the refund policy. TimelyMart is not responsible for delays caused by the issuing bank or payment provider.

9. Intellectual Property Rights

9.1. All content included on the Platform, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of TimelyMart, its affiliates, or its content suppliers, and is protected by Indian and international copyright laws.

9.2. The compilation of all content on the Platform is the exclusive property of TimelyMart and is protected by applicable copyright laws.

9.3. TimelyMart and related logos are trademarks or registered trademarks of TimelyMart in India and other jurisdictions. All other trademarks not owned by TimelyMart that appear on the Platform are the property of their respective owners.

9.4. You shall not use any TimelyMart intellectual property without prior written consent. Unauthorized use may result in legal action.

10. Third-Party Links and Services

10.1. The Platform may contain links to third-party websites or services that are not owned or controlled by TimelyMart. TimelyMart has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

10.2. By using the Platform, You acknowledge and agree that TimelyMart shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party content, goods, or services.

11. Disclaimer of Warranties

11.1. The Platform and all Products and services provided through it are made available to You on an “as is” and “as available” basis.

11.2. TimelyMart makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, Products, or services included on or otherwise made available to You through the Platform, unless otherwise specified in writing.

11.3. You expressly agree that Your use of the Platform is at Your sole risk.

12. Limitation of Liability

12.1. To the fullest extent permissible by applicable law, TimelyMart shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses arising out of or in connection with the use or inability to use the Platform.

12.2. TimelyMart’s total liability to You for all claims arising out of or relating to these Terms or Your use of the Platform shall not exceed the amount paid by You, if any, for accessing the Platform or purchasing Products.

13. Indemnity

13.1. You agree to indemnify, defend, and hold harmless TimelyMart, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from:
a) Your use of and access to the Platform;
b) Your violation of any term of these Terms;
c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

14. Governing Law and Jurisdiction

14.1. These Terms shall be governed by and construed in accordance with the laws of India.

14.2. You agree that the courts at Chennai, Tamil Nadu, India shall have exclusive jurisdiction over any disputes arising under or in connection with these Terms.

15. Changes to the Terms

15.1. TimelyMart reserves the right to modify or replace these Terms at any time. Any changes will be effective immediately upon posting on the Platform.

15.2. Your continued use of the Platform after any such changes constitutes Your acceptance of the new Terms.
